Message to the attention of unitholders of funds distributed to individual investors managed by Eurazeo Investment Manager (EIM).

 

As part of the rationalization and simplification of the organizational structure of Eurazeo Group, a merger is planned between the two management companies EIM and Eurazeo Mid Cap (EMC), a public limited company with a share capital of €1.089.450, whose registered office is at 1, rue Georges Berger, 75017 Paris, France, registered with Register of Commerce and Companies of Paris under number 414 908 624 (“EMC”), involving the absorption of EIM by EMC. The merger will be legally completed on December 31, 2023, with an accounting and tax effect as of December 31, 2023. On this occasion, EMC will be transformed into a simplified joint stock company (société par actions simplifiée) and will adopt the name “Eurazeo Global Investor” (“EGI”).

These changes were approved by the Autorité des Marchés Financiers on December 12, 2023 and EGI will become the funds’ management company as of January 1, 2024.

The completion of the merger will result in the universal transfer of the assets of EIM to EMC. All the rights and obligations of EIM will be transferred to EGI (new denomination of EMC) as from January 1, 2024.
